Sprout Social AI Features Terms

These AI Features Terms (“AI Terms”) apply to the use of our AI Features (as defined below) as part of the Services and are incorporated into, and become part of, the applicable agreement in place between Subscriber and Sprout Social governing access to and use of the Services (“Agreement”). Capitalized terms not defined in these AI Terms have the meanings given in the Agreement. In the event of a conflict between the Agreement and the AI Terms, the AI Terms will apply with respect to the use of any AI Features.

1. Applicability. These AI Terms apply to the products, features, or tools made available to Subscriber as part of the Services that are powered by artificial intelligence, machine learning, or similar technologies (collectively, "AI Features"). A list of AI Features, which Sprout Social may modify or update from time to time in its sole discretion, can be found at: https://support.sproutsocial.com/hc/en-us/articles/20105027830669-What-AI-and-automation-features-are-available-in-Sprout. By enabling or using such AI Features, Subscriber agrees to these AI Terms. 

2. Definitions

  1. A. “AI Content” means, collectively, the Inputs and Outputs.

  2. B. “AI Service Providers” are providers of any Third-Party Service that Sprout Social relies on to provide certain AI Features. A list of AI Service Providers is available upon request. 

  3. C. “Input(s)” means any Subscriber Data, content or materials that Subscriber submits to the AI Features such as an audio file, video file, document, image, or text to receive the Output. 

  4. D. “Output(s)” means the resulting image, text, reports, summaries, insights, or any other content, which is generated by the AI Features based on the Inputs and provided to Subscriber within the Services.

3. Ownership Rights. As between the parties, (a) Sprout Social (or its AI Service Providers, as applicable) exclusively owns all right, title, and interest in and to the AI Features and (b) to the extent permitted by applicable law, Subscriber exclusively owns all right, title, and interest in and to the AI Content that is unique solely to Subscriber. Subscriber acknowledges that Output may not receive protections as Subscriber’s intellectual property under applicable law. 

4. Risks and Limitations. Artificial intelligence and machine learning technologies have known and unknown risks and limitations. As such, the AI Features may provide Output that is inaccurate, is offensive, biased, poses a threat to public safety, or is not designed or intended to meet Subscriber’s needs, expectations, or legal, regulatory, or compliance obligations. Additionally, Outputs may not be unique, and similar or identical Outputs may be generated by other users of the AI Features. Subscriber is solely responsible for reviewing, validating, editing, and amending any Output before publication, use, or reliance on such Output. Subscriber agrees it must not remove or alter any watermarks or metadata related to content authenticity that may be generated with the Output, or otherwise attempt to mislead others about the origin of the Output.

Subscriber acknowledges and agrees that Sprout Social does not endorse nor guarantee the Outputs to be accurate, complete, or current. Subscriber further acknowledges and agrees that Subscriber is solely responsible for (i) the content of the Inputs and the creation and/or use of Outputs, (ii) ensuring that Subscriber’s use of any AI Content does not violate any third party rights and complies with all applicable laws and regulations, and (iii) obtaining any necessary permissions, consents, or licenses with respect to the use of any AI Content. Under no circumstances shall Sprout Social be liable for Subscriber’s use of the AI Features, including but not limited to any Outputs. For clarity, Sprout Social’s indemnification obligations under the Agreement regarding the use of the Services exclude and do not apply to the use of the AI Features or any Outputs.

FOR THE AVOIDANCE OF DOUBT, THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY OUTLINED IN THE AGREEMENT ALSO APPLY TO SUBSCRIBER’S USE OF THE AI FEATURES. SPECIFICALLY, SPROUT SOCIAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, RELATING TO OUTPUTS, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES THAT THE OUTPUTS WILL BE SUITABLE FOR ANY PARTICULAR PURPOSE OR DO NOT VIOLATE THE RIGHTS OF A THIRD PARTY OR ANY APPLICABLE LAW.

5. AI Service Providers. Sprout Social provides certain elements of the AI Features through AI Service Providers. Subscriber acknowledges that its AI Content, including Subscriber Data, will be shared with and processed by our AI Service Providers for purposes of enabling Subscriber’s use of the AI Features, operating the AI Features, content moderation, and other business purposes of the AI Service Providers. If the AI Service Providers require Sprout Social to flow down additional terms to its customers, as identified in the Usage Policy, such Third-party Service Terms shall be considered binding on Subscriber, including, but not limited to, OpenAI’s Sharing and Publication Policy, Usage Policies, and other terms applicable to the use of OpenAI-powered AI Features within the Services. 

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT, SPROUT SOCIAL DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES (EXPRESS OR IMPLIED) ABOUT, AND SHALL HAVE NO LIABILITY FOR, THE USE, MISUSE, OR OTHER PROCESSING OF SUBSCRIBER DATA BY AI SERVICE PROVIDERS, INCLUDING BUT NOT LIMITED TO ANY CLAIMS, DAMAGES, COSTS, FEES, PENALTIES, OR OTHER LOSSES OR AMOUNTS ARISING THEREFROM.

6. Use Restrictions. In addition to the Use Restrictions outlined in the Agreement and Sprout Social’s Usage Policy, Subscriber shall not:

  • use the AI Features to infringe upon any rights of a third party, including any intellectual property rights;

  • use the AI Features or any AI Content to develop, train or improve any competing product, Service, or artificial intelligence or machine learning model;

  • represent any Output as being an original work or a wholly human-generated work, or represent any Output is approved or vetted by Sprout Social;

  • submit or input Sensitive Information into the AI Features;

  • use the AI Features for the purposes of analyzing, profiling or targeting someone based on information or inferences about their racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, age, gender, sex life, sexual orientation, criminal convictions, disability, health status or medical condition;

  • use the AI Features for automated decision-making or to make determinations or other decisions that have legal or similarly significant effects on individuals, including but not limited to decisions that affect education enrollment or opportunities, employment, financial or lending services, legal services, insurance, health-care services, government services, or housing, unless it does so with adequate human review and in compliance with all applicable laws;

  • use the AI Features for purposes or with effects that are illegal, discriminatory, harassing, bias-inducing, harmful or unethical;

  • generate spam, or any content for dissemination for illegal activities, or in relation to electoral campaigns at any level of government, or to abuse, harm, interfere with, or disrupt any services (or enable others to do the same) through the AI Features; or 

  • use the AI Features in a manner outside the scope of the Agreement.

7. Improving the AI Features. Sprout Social will not permit any AI Service Provider to access or use the AI Content for the purpose of training its AI models; provided, however, that Sprout Social may use the AI Content to train, develop, and improve the AI Features and/or the Sprout Social Services, including any features which may exist now or in the future, both during and after the term of the Agreement.

8. Availability of AI Features. Sprout Social reserves the right to remove, modify, or replace the AI Features at any time, with or without notice for any reason, in its sole discretion.

9. Compliance. Sprout Social will comply with all laws and regulations applicable to its provision of the AI Features. Sprout Social will maintain reasonable policies, procedures, and technical and administrative mechanisms to ensure that any artificial intelligence technology used as part of the Services is developed in accordance with ethical and responsible guidelines.

10. Miscellaneous. Sprout Social reserves the right to suspend, modify or terminate your access to the AI Features at any time. Sprout Social may update these AI Terms from time to time, in which case the new AI Terms will supersede the prior version. AI Features made available in beta are also governed by the beta terms found in your Agreement or, if there are no beta terms in your Agreement, then in Sprout Social’s Terms of Service. Sprout Social will not be bound by, and expressly objects to, any term, condition, or other provision that is different from or in addition to these AI Terms (whether or not it would materially alter these AI Terms) that is proffered by Subscriber in any receipt, invoice, acceptance, purchase order, procurement portal, confirmation, correspondence, or otherwise, regardless of Sprout Social’s failure to object to such terms, provisions or conditions.

11. Cooperation of the Parties. Sprout Social will provide reasonable assistance to Subscriber, to the extent required by law, in complying with any obligations applicable to Subscriber regarding its use of the AI Features. The parties agree to work together in good faith to amend the Agreement, including without limitation these AI Terms, in connection with the use of AI Features if such amendment is necessary to comply with applicable laws or regulatory requirements.
