Bedingungen für KI-Funktionen von Sprout Social

Diese Bedingungen für KI-Funktionen („KI-Bedingungen“) gelten für die Nutzung unserer KI-Funktionen (wie unten definiert) als Teil der Dienstleistungen und sind Bestandteil der geltenden Vereinbarung zwischen dem Abonnenten und Sprout Social, die den Zugang zu und die Nutzung der Dienstleistungen regelt („Vereinbarung“). Großgeschriebene Begriffe, die in diesen KI-Bedingungen verwendet werden, haben die in der Vereinbarung angegebene Bedeutung. Im Falle eines Konflikts zwischen der Vereinbarung und den KI-Bedingungen gelten die KI-Bedingungen in Bezug auf die Nutzung von KI-Funktionen.
1. Applicability. These AI Terms apply to the products, features, or tools made available to Subscriber as part of the Services that are powered by artificial intelligence, machine learning, or similar technologies (collectively, "AI Features"). A list of AI Features, which Sprout Social may modify or update from time to time in its sole discretion, can be found at: https://support.sproutsocial.com/hc/en-us/articles/20105027830669-What-AI-and-automation-features-are-available-in-Sprout. By enabling or using such AI Features, Subscriber agrees to these AI Terms.
2. Definitions
A. „KI-Inhalte“ bezeichnet sowohl die Eingaben (Inputs) als auch die Ausgaben (Outputs).
B. „KI-Dienstleister“ sind Anbieter von Diensten von Drittanbietern, die Sprout Social für die Bereitstellung bestimmter KI-Funktionen in Anspruch nimmt. Eine Liste von KI-Dienstleistern ist auf Anfrage erhältlich.
C. „Input(s)“ bezeichnet alle Daten, Inhalte oder Materialien des Abonnenten, die dieser an die KI-Funktionen übermittelt, wie z. B. eine Audiodatei, eine Videodatei, ein Dokument, ein Bild oder einen Text, um den Output zu erhalten.
D. „Output(s)“ bezeichnet das daraus resultierende Bild, den Text, die Berichte, Zusammenfassungen, Erkenntnisse oder andere Inhalte, die von den KI-Funktionen auf der Grundlage der Inputs generiert und dem Abonnenten im Rahmen der Dienstleistungen bereitgestellt werden.
E. “Usage Limits” means the limits imposed by Sprout Social to control Subscriber’s use of the AI Features. Usage Limits may include limits on frequency, volume, computational resources, or unit-based allowances (e.g., credits, sessions, messages, or duration), as well as fair use caps. Usage Limits may vary depending on the specific Services or AI Features, and may be further described in the specific Product-Terms and Documentation for the applicable Services.
3. Ownership Rights. As between the parties, (a) Sprout Social (or its AI Service Providers, as applicable) exclusively owns all right, title, and interest in and to the AI Features and (b) to the extent permitted by applicable law, Subscriber exclusively owns all right, title, and interest in and to the AI Content that is unique solely to Subscriber. Subscriber acknowledges that Output may not receive protections as Subscriber’s intellectual property under applicable law.
4. Risks and Limitations. Artificial intelligence and machine learning technologies have known and unknown risks and limitations. As such, the AI Features may provide Output that is inaccurate, offensive, biased, poses a threat to public safety, or is not designed or intended to meet Subscriber’s needs, expectations, or legal, regulatory, or compliance obligations. Additionally, Outputs may not be unique, and similar or identical Outputs may be generated by other users of the AI Features. Subscriber is solely responsible for reviewing, validating, editing, and amending any Output before publication, use, or reliance on such Output. Subscriber agrees it must not remove or alter any watermarks or metadata related to content authenticity that may be generated with the Output, or otherwise attempt to mislead others about the origin of the Output.
Subscriber acknowledges and agrees that Sprout Social does not endorse nor guarantee the Outputs to be accurate, complete, or current. Outputs are informational only, nonbinding, and do not constitute, and shall not be construed as, any offer, commitment, representation, warranty, pricing, or contractual term of Sprout Social. Only terms expressly set forth in the Agreement, a Service Order, or published pricing govern the commercial relationship between Subscriber and Sprout Social. Certain AI Features may provide conversational or interactive capabilities. Such features are designed and intended solely for the analysis and exploration of social data and related insights within the Services, and Subscriber shall not rely on any Output for information regarding Sprout Social's pricing, policies, contractual terms, or any topic outside the scope of the applicable AI Feature's intended purpose.
Subscriber further acknowledges and agrees that Subscriber is solely responsible for (i) the content of the Inputs and the creation and/or use of Outputs, (ii) ensuring that Subscriber’s use of any AI Content does not violate any third party rights and complies with all applicable laws and regulations, and (iii) obtaining any necessary permissions, consents, or licenses with respect to the use of any AI Content. Under no circumstances shall Sprout Social be liable for Subscriber’s use of the AI Features, including but not limited to any Outputs. For clarity, Sprout Social’s indemnification obligations under the Agreement regarding the use of the Services exclude and do not apply to the use of the AI Features or any Outputs.
FOR THE AVOIDANCE OF DOUBT, THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY OUTLINED IN THE AGREEMENT ALSO APPLY TO SUBSCRIBER’S USE OF THE AI FEATURES. SPECIFICALLY, SPROUT SOCIAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, RELATING TO OUTPUTS, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES THAT THE OUTPUTS WILL BE SUITABLE FOR ANY PARTICULAR PURPOSE OR DO NOT VIOLATE THE RIGHTS OF A THIRD PARTY OR ANY APPLICABLE LAW.
5. AI Service Providers. Sprout Social provides certain elements of the AI Features through AI Service Providers. Subscriber acknowledges that its AI Content, including Subscriber Data, will be shared with and processed by our AI Service Providers for purposes of enabling Subscriber’s use of the AI Features, operating the AI Features, content moderation, and other business purposes of the AI Service Providers. If the AI Service Providers require Sprout Social to flow down additional terms to its customers, as identified in the Usage Policy, such Third-party Service Terms shall be considered binding on Subscriber, including, but not limited to, OpenAI’s Sharing and Publication Policy, Usage Policies, and other terms applicable to the use of OpenAI-powered AI Features within the Services.
UNGEACHTET ANDERSLAUTENDER BESTIMMUNGEN IN DER VEREINBARUNG LEHNT SPROUT SOCIAL ALLE ZUSICHERUNGEN UND GARANTIEN (AUSDRÜCKLICH ODER STILLSCHWEIGEND) IN BEZUG AUF DIE NUTZUNG, DEN MISSBRAUCH ODER DIE SONSTIGE VERARBEITUNG DER DATEN DES ABONNENTEN DURCH DIE DIENSTLEISTER DER KI AB, EINSCHLIESSLICH, ABER NICHT BESCHRÄNKT AUF JEGLICHE ANSPRÜCHE, SCHÄDEN, KOSTEN, GEBÜHREN, STRAFEN ODER SONSTIGE VERLUSTE ODER BETRÄGE, DIE SICH DARAUS ERGEBEN.
6. Use Restrictions. In addition to the Use Restrictions outlined in the Agreement and Sprout Social’s Usage Policy, Subscriber shall not:
die KI-Funktionen zu nutzen, um die Rechte Dritter zu verletzen, einschließlich der Rechte an geistigem Eigentum;
die KI-Funktionen oder KI-Inhalte zu verwenden, um ein konkurrierendes Produkt, eine Dienstleistung oder ein Modell für künstliche Intelligenz oder maschinelles Lernen zu entwickeln, zu trainieren oder zu verbessern;
einen Output als Originalarbeit oder als vollständig von Menschen erstellte Arbeit darzustellen oder zu behaupten, dass ein Output von Sprout Social genehmigt oder überprüft wurde;
sensible Informationen an die KI-Funktionen zu übermitteln oder in diese einzupflegen;
die KI-Funktionen für die Analyse, die Erstellung von Profilen oder die gezielte Ansprache von Personen auf der Grundlage von Informationen oder Rückschlüssen über deren ethnische Herkunft, politische Ansichten, religiöse oder philosophische Überzeugungen, Gewerkschaftszugehörigkeit, Alter, Geschlecht, Sexualleben, sexuelle Orientierung, Vorstrafen, Behinderung, Gesundheitszustand oder medizinischen Zustand zu verwenden;
die KI-Funktionen für die automatisierte Entscheidungsfindung oder für Festlegungen oder andere Entscheidungen zu nutzen, die rechtliche oder ähnlich erhebliche Auswirkungen auf Einzelpersonen haben, einschließlich, aber nicht beschränkt auf Entscheidungen, die die Teilnahme an Bildungsmaßnahmen oder -angeboten, die Beschäftigung, Finanz- oder Kreditdienstleistungen, juristische Dienstleistungen, Versicherungen, Gesundheitsdienstleistungen, staatliche Dienstleistungen oder den Wohnungsmarkt betreffen, es sei denn, dies geschieht mit einer angemessenen Überprüfung durch Menschen und in Übereinstimmung mit allen geltenden Gesetzen;
die KI-Funktionen für Zwecke oder mit Auswirkungen zu verwenden, die illegal, diskriminierend, belästigend, zu Vorurteilen verleitend, schädlich oder unethisch sind;
attempt to circumvent or bypass the safety, content moderation, or other protective measures of the AI Features, including through prompt injection, adversarial inputs, or similar techniques;
Spam oder Inhalte zur Verbreitung für illegale Aktivitäten oder im Zusammenhang mit Wahlkampagnen auf jeglicher staatlicher Ebene zu generieren oder Dienstleistungen über die KI-Funktionen zu missbrauchen, zu schädigen, zu stören oder zu unterbrechen (oder es anderen zu ermöglichen, das Gleiche zu tun); oder
die KI-Funktionen auf eine Art und Weise zu nutzen, die nicht im Rahmen der Vereinbarung erfolgt.
7. Usage Limits. Sprout Social may establish and modify Usage Limits on the AI Features. Usage Limits may vary by plan and by AI Feature and may be adjusted by Sprout Social from time to time. If Subscriber exceeds an applicable Usage Limit, Sprout Social may, in its sole discretion, throttle, queue, or temporarily restrict Subscriber's access to the affected AI Features until usage returns to levels within the applicable Usage Limit. Such throttling or restriction shall not constitute a breach of the Agreement or a basis for any refund, credit, or claim by Subscriber. Sprout Social shall have no liability to Subscriber or any third party for any loss, damage, or disruption arising from the enforcement of Usage Limits.
8. Improving the AI Features. Sprout Social will not permit any AI Service Provider to access or use the AI Content for the purpose of training its AI models; provided, however, that Sprout Social may use the AI Content to train, develop, and improve the AI Features and/or the Sprout Social Services, including any features which may exist now or in the future, both during and after the term of the Agreement.
9. Availability of AI Features. Sprout Social reserves the right to remove, modify, or replace the AI Features at any time, with or without notice for any reason, in its sole discretion.
10. Compliance. Sprout Social will comply with all laws and regulations applicable to its provision of the AI Features. Sprout Social will maintain reasonable policies, procedures, and technical and administrative mechanisms to ensure that any artificial intelligence technology used as part of the Services is developed in accordance with ethical and responsible guidelines.
11. Miscellaneous. Sprout Social reserves the right to suspend, modify or terminate your access to the AI Features at any time. Sprout Social may update these AI Terms from time to time, in which case the new AI Terms will supersede the prior version. AI Features made available in beta are also governed by the beta terms found in your Agreement or, if there are no beta terms in your Agreement, then in Sprout Social’s Terms of Service. Sprout Social will not be bound by, and expressly objects to, any term, condition, or other provision that is different from or in addition to these AI Terms (whether or not it would materially alter these AI Terms) that is proffered by Subscriber in any receipt, invoice, acceptance, purchase order, procurement portal, confirmation, correspondence, or otherwise, regardless of Sprout Social’s failure to object to such terms, provisions or conditions.
12. Cooperation of the Parties. Sprout Social will provide reasonable assistance to Subscriber, to the extent required by law, in complying with any obligations applicable to Subscriber regarding its use of the AI Features. The parties agree to work together in good faith to amend the Agreement, including without limitation these AI Terms, in connection with the use of AI Features if such amendment is necessary to comply with applicable laws or regulatory requirements.
